1. Who You're Contracting With

Snarky Barky ("the Service") is owned and operated by Frank Christopher, an individual sole proprietor ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the Service.

2. Description of Service

Snarky Barky is a SaaS platform that helps businesses draft replies to online reviews. We do not post responses on your behalf; you retain full control over what is published.

3. User Accounts

You must be of legal age to enter a contract and, if signing up on behalf of a business, you confirm you have authority to bind that business. You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Acceptable Use

You agree not to misuse the Service. Prohibited activity includes unlawful use, fraud or spam, infringing the intellectual property rights of others, transmitting malware or harmful code, probing or scraping the Service, or interfering with its security or operation. You may not reverse engineer, resell, or circumvent technical limits of the Service.

5. Payments, Subscriptions & Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms, available at paddle.com/legal/checkout-buyer-terms. Subscriptions renew automatically at the selected interval until cancelled. You may cancel at any time through your account or via paddle.net.

6. Intellectual Property

All software, content, and branding that make up the Service are owned by Frank Christopher and protected by applicable IP laws. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. You retain ownership of your business data and any review responses you generate.

7. AI-Generated Content

The Service uses AI to draft reply suggestions. Outputs may be inaccurate, biased, or unsuitable in some contexts and are not a substitute for professional advice. You are responsible for reviewing, editing, and approving any reply before publishing it, and for ensuring it complies with applicable laws and the policies of the platform where it is posted. You must not use the Service to generate unlawful, harassing, defamatory, or deceptive content.

8. Service Availability & Warranties

The Service is provided "as is" and "as available". We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

10. Suspension & Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service and cancel your subscription at any time. On termination, your right to use the Service ends and we may delete your account data after a reasonable export window.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

13. Governing Law & Contact

These Terms are governed by the laws of the jurisdiction in which Frank Christopher resides, without regard to its conflict-of-laws rules. Questions about these Terms may be directed to support@snarkybarky.app.
